Share Lagat (शेयर लगत) is the government record of the investment made by the shareholders in the particular company. Under this process, the amount deposited by the shareholder as capital in the company is checked and verified by the OCR official and certificate as to investment made in the company is issued by the Office of Company registrar with the valid stamp of the office of company registrar.
Legal Requirements Pursuant to Section 31 and Section 51 of the Companies Act, 2063, and the OCR Notice 2080/05/10, companies must file their share allotment return within 30 days of fund realization. The primary legal requirement is a bank-sealed statement showing the deposit of the share amount. Under Directive 13, if the deposit is made by a family member, additional self-declarations and relationship certificates must be attached to maintain OCR Compliance Nepal.
Consequences of Failure Failure to certify the Share Lagat prevents a company from carrying out any other “portal events,” such as changing directors or increasing capital. Under Section 161, late filings incur progressive fines. Furthermore, if a company fails to certify its initial shareholding before its first AGM, it may be flagged for non-operation, leading to a potential strike-off under Section 136.
